Our Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Baroque Labs, Inc. ("Baroque Labs," "we," "us," or "our") governing your use of the Delaits mobile app and website (together, the "Service"). By creating an account, affirmatively accepting these Terms, or using the Delaits mobile app, you agree to these Terms. If you don't agree, please don't create an account or use the Delaits mobile app.

Please also read our Privacy Policy, which explains how we handle your information and is incorporated into these Terms.

2. Eligibility and minimum age

You must be at least 13 years old to create a Delaits account or use the Delaits mobile app. If you are under the age of legal majority where you live, you may create an account or use the Delaits mobile app only with the permission of a parent or legal guardian. By creating an account or using the Delaits mobile app, you confirm that you meet these requirements.

3. Account registration and responsibilities

Some parts of Delaits require an account. You do not need an account to browse the public website or sign up for updates. When you create an account, you agree to:

5. Styling advice and its limitations

Delaits gives you styling suggestions and opinions — not instructions. A few things worth knowing:

We built Delaits to be a helpful, encouraging second opinion — not the final word.

6. User content

"User content" means the photos, context, and other material you submit through Delaits. You own your user content.

By submitting content, you give Baroque Labs a license to use it to:

This license is non-exclusive, worldwide, royalty-free, and sublicensable to service providers that help us operate Delaits. It may also be transferred in connection with a merger, acquisition, reorganization, financing, or sale of all or part of our business or assets. It ends when the related content is deleted from our active systems, subject to the limited retention described in our Privacy Policy. To the extent your content has already been incorporated into model development or improvement, the rights needed for that prior use may continue, subject to our Privacy Policy and applicable law. We do not publicly display your content, and we do not use it for advertising or promotional purposes.

7. Intellectual property ownership

Delaits — including its design, features, branding, and underlying software — is owned by Baroque Labs, Inc. or our licensors and is protected by intellectual-property laws. These Terms give you a limited, personal, non-transferable, non-exclusive license to use the Service for your own personal use. Nothing here transfers ownership of Delaits or its content to you.

8. Feedback and suggestions

If you send us feedback, ideas, or suggestions about Delaits, you agree that we can use them without any obligation or compensation to you.

9. Third-party services

Delaits relies on third-party services to operate and may include links to or integrations with third-party services. We are not responsible for third-party services that we do not control. Additional third-party terms may apply when they are presented to you in connection with your use of the Service or a transaction.

10. Subscription, billing, and in-app purchases

Delaits may offer paid features, subscriptions, or other in-app purchases.

Purchases may be processed by the app marketplace or payment provider through which you make the purchase. Your purchase is also subject to that provider's applicable payment, billing, renewal, cancellation, and refund terms.

Subscriptions may renew automatically unless you cancel them through the app marketplace or payment provider where you purchased them before the end of the current subscription period. Prices, billing periods, included features, trial terms, and other material purchase conditions will be shown before you complete a purchase.

Deleting your Delaits account does not automatically cancel an active subscription.

11. Availability and changes to Delaits

Delaits may change as we test and improve the Service. We may update, modify, suspend, or discontinue all or part of Delaits. The Service may occasionally be unavailable, delayed, or contain errors, and access to any particular feature is not guaranteed.

12. Account suspension and termination

We may suspend or terminate your access to Delaits if you materially violate these Terms, pose a security risk, engage in illegal activity or abuse, or otherwise create risk or harm to the Service, us, or others. Where reasonably possible, we'll try to notify you of the reason. This right doesn't override any consumer-protection rights you have under applicable law that we can't lawfully limit.

You may stop using Delaits at any time.

13. User account deletion

You can initiate deletion of your account at any time from within the app. We then remove your account and its linked data from our active systems, subject to the limited retention described in our Privacy Policy.

14. Disclaimers

Delaits is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that styling advice will meet your expectations.

Nothing in this section limits any warranty or consumer protection that applicable law does not allow us to disclaim.

15. Limitation of liability

To the fullest extent permitted by law, Baroque Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of Delaits. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) US$50.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or intentional misconduct, or any consumer-protection rights that can't be waived.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. To the extent a dispute is not required to be resolved through arbitration under Section 17, any court proceeding arising from these Terms or your use of Delaits must be brought in the state or federal courts located in Delaware, and you and Baroque Labs each consent to personal jurisdiction there.

This doesn't take away any consumer-protection rights you have under the mandatory law of the country, state, or province where you live — see Section 18.

17. Dispute resolution; binding arbitration; class action waiver

Please read this section carefully. It affects how disputes between you and Baroque Labs get resolved.

You and Baroque Labs agree to resolve any dispute arising out of or relating to these Terms or your use of Delaits through binding, individual arbitration rather than in court — except that either of us may bring an individual claim in small-claims court, and either of us may seek injunctive relief in court to protect intellectual-property rights. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules.

You and Baroque Labs each waive the right to a jury trial and to bring or participate in a class action, class arbitration, or representative proceeding. Claims can only be brought individually, not combined with anyone else's.

Opting out. You can opt out of this arbitration agreement by emailing contact@delaits.com within 30 days of first agreeing to these Terms, with your name and a clear statement that you're opting out of arbitration. If you opt out, disputes will instead go through the courts described in Section 16.

If any part of this section is found unenforceable, the rest of it stays in effect — except that if the class-action waiver specifically is found unenforceable for a given claim, that claim goes to court rather than arbitration, and the rest of this section still applies to any other claims.

This section doesn't limit any right you have under applicable law that can't be waived by agreement — see Section 18.

18. Your consumer rights

Nothing in these Terms is intended to limit any non-waivable consumer-protection rights you have under the laws of the country, state, or province where you live. Where these Terms conflict with those rights, your statutory rights control.

19. Severability

If any provision of these Terms is found unenforceable, the rest of the Terms remain in full effect, and the unenforceable provision will be interpreted to best reflect its original intent within the limits of applicable law.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you. Continuing to use Delaits after changes take effect means you accept the updated Terms.
